REFERRAL AGREEMENT

This Referral Agreement (“Agreement”) is entered into by and between Cascade Communications, a PR & Digital Marketing agency specializing in PR, design, websites, SEO, social strategy and content (“Company”), and the undersigned individual or entity (“Referrer”), collectively referred to as the “Parties.”

1. Purpose

​

The purpose of this Agreement is to establish the terms under which the Referrer will introduce potential clients to the Company in exchange for referral compensation.

2. Referral Criteria

​

Referrer may introduce prospective clients to the Company via email introduction, phone call, or other mutually agreed method. A referral will be considered “Qualified” only if:

​

• The referred party is not an existing or prior client of the Company.

• The Company has not been in prior discussions with the referred party in the past six (6) months.

• The referred client signs a paid agreement with the Company within ninety (90) days of the introduction.

3. Referral Fee

​

If a Qualified referral results in a closed project, the Referrer shall be entitled to 10% of the net profit from that project.

Net profit is defined as the total project fee received by the Company, minus the Company’s cost of goods sold (COGS).

COGS includes all direct expenses paid to staff, contractors, and vendors, expenses required to execute the project.

Referral fees apply to the initial project only, unless otherwise agreed upon in writing. Initial project is defined as the first agreement signed with Qualified referral and does not include subsequent project agreements following there after.

4. Reporting

​

For any Qualified referral that results in a closed project, the Company agrees to provide a one-time report to the Referrer upon project commencement. This report will include:

​

• The total project fee agreed upon with the referred client

• Cascade's COGS, defined as all direct costs paid to staff, contractors, and vendors or expenses required to execute the project

• The calculated net profit

• The 10% referral fee owed, along with the scheduled payment date

• Referral payments will be made within ten (10) business days of receiving the initial project payment from the referred client.

• Upon request and pending referral project agreement, arrangements may be made for referral payments to be made monthly until fulfilled.

5. Term & Termination

​

This Agreement shall remain in effect for twelve (12) months from the date of signing by both Parties. After that period, it may be renewed or extended upon mutual written agreement.

​

Either Party may terminate this Agreement early with thirty (30) days written notice. Termination shall not affect any referral fees earned for projects closed during the active term of the Agreement.

If Referrer fails to make referring payments, this agreement may be terminated and will be held in breach according to Arbitration and Governing Law.

6.  Arbitration and Governing Law 

Any controversy or claim arising out of, or related to, this Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The controversy, or claim shall, be settled by a single arbitrator, and all hearings shall be held in the city in which the Agency. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.  In rendering the award, the arbitrator shall interpret this Agreement in accordance with the substantive laws of the state, which the Agency’s office is located, without regard to its conflict of law rules.

7. Independent Parties

​

Both Parties acknowledge that nothing in this Agreement constitutes a joint venture, partnership, or employment relationship unless explicitly stated in a separate agreement. The Referrer is acting as an independent party and has no authority to make commitments or representations on behalf of the Company.

8. Entire Agreement

​

This Agreement constitutes the entire agreement between the Parties regarding referrals and supersedes any prior written or oral agreements.
